This is a reminder that it is time to renew your membership.  Our members are our most valuable asset.  In order to maintain the quality of our productions which you have come to expect, we need your support.  Our musicals, alone, require a great deal of financial backing to pay for the royalties, rent the scripts and costumes, print programs, rent backdrops, pay advertising costs, rent the venue, pay the salary for the custodians and auditorium manager, buy batteries for the sound system, and so on, all of which may easily cost from $5,000 to $7,000 dollars. 

Membership dues remain the same as in past years.  Would you, please, consider renewing your membership at a higher level?  Members at the Sponsor ($25) and higher levels, receive recognition in programs for all of our productions throughout the year. 

Members receive the RTP Newsletter which keeps you notified of the latest productions.  It gives you voting rights in our organization.  But most of all, you have the satisfaction of knowing that you are helping to keep the performing arts alive in southeastern Indiana.

BYLAWS OF RIVERTOWN PLAYERS, INC.

 ARTICLE I – NAME
The name of this organization shall be River town Players, Inc.
(hereafter referred to as RTP).

 ARTICLE II – PURPOSE
The purpose of Rivertown Players, Inc. shall be to promote, encourage, and develop the enjoyment, appreciation and participation by the citizens of southeastern Indiana in the theatre through the production and performance of plays, musicals and concerts. To accomplish this goal, assistance and financial contributions will be sought by means of membership and other support.

Rivertown Players, Inc. is organized exclusively for charitable, religious, educational and scientific purposes, including for such purposes, the making of distributions to organizations that qualify as exempt organizations under Section 501 (c)(3) of the Internal Revenue Code of 1954.

No part of the net earnings of the organization shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered to make payments and distributions in furtherance of the purposes set forth hereof. No substantial part of the activities of the organization shall be the carrying on of propaganda otherwise attempting to influence legislation, and the organization shall not participate or intervene in (including the publishing or distribution of statements) any political case on behalf of any candidate for public office.

Notwithstanding any other provision of these articles, the organization shall not carry any other activities not permitted to be carried on (a) by an organization exempt from Federal income tax under Section 501 (c) (3) of the Internal Revenue Code of 1954 or (b) by an organization, contributions to which are deductible under Section 170 (c) (2) of the Internal Revenue Code of 1954.

ARTICLE III – MEMBERSHIP

Section 1. Qualification – Membership with RTP shall be open to any person or organization applying for such in accordance with the appropriate terms for the class thereof.

Section 2. Classes – Annual membership shall be granted upon application and payment to RTP of the current annual dues in the amount set forth by the Board of Directors for the following classes:

(A) FAMILY Membership – This membership includes head(s) of the household and all students enrolled in a K-12 educational facility.
(B) ADULT Membership – This membership is available for all adults. Adults being defined as those over the age of 18 or emancipated teens.
(C) STUDENT Membership – This membership is available for any student enrolled in a K-12 educational facility.

Section 3. Upon receipt of application and payment of the annual dues to the chairperson of the membership committee, a membership card shall be issued identifying the holder, class, and date of expiration, which shall also be recorded on the membership roster. Membership shall be for one year, coinciding with the fiscal year declared in these bylaws. The chairperson of the membership committee shall, at all times, keep a complete and accurate roster of all members for the current fiscal year.

Section 1. – Qualifications - Nominees to the Board of Directors shall have been a member in good standing for the past 12 months and shall have participated in some capacity in at least one production within the past 12 months. President – The President shall be responsible for administration and shall preside at all meetings of the general membership and the Board of Directors. The President shall call Special meetings as may be necessary to carry on the business of RTP. It shall be the responsibility of the President to oversee all duties of all officers and committees. In addition, it shall be the President’s responsibility to appoint committee chairpersons as needed.

Vice-President – The Vice-President shall assume the duties of the President in the event of the absence or inability of the President to perform said duties. The Vice-President shall assume the position of the RTP Historian.

Secretary – The Secretary shall record and maintain the minutes of all meetings of the Board and the general membership of RTP. The Secretary shall be responsible for notifying members of all meetings of RTP. The Secretary shall be responsible for any correspondence on behalf of the board and also maintains current copies of RTP Articles of Incorporation, Bylaws and amendments of each in the files.

Treasurer – The Treasurer shall receive, maintain, and account for all funds and property of RTP. The Treasurer shall present a written monthly financial report at all Board and general meetings. The Treasurer shall prepare a proposed budget prior to the beginning of each fiscal year and shall also present a final financial statement of the past year at the October meeting of each year.

Section 4. – Board of Directors Vacancies – In the event of a vacancy in the office of President, the Vice-President shall immediately assume the duties of the President for the remainder of the term.

 Should other vacancies occur on the Board of Directors as a result of resignation, inability to serve, or removal of a Board member, such position(S) shall be filled, in order of preference, on one of the following manners:

(A) The Board of Directors shall select a replacement from remaining members of the Board to serve out the unexpired term of such officer at the first Board meeting following the occurrence of the vacancy.

(B) Vacancies may be filled by an appointment(s) by the Board of Directors from current members in good standing. These appointments will only be valid to fulfill the terms of Board Members whose position is being filled.

Section 5. NO member may be removed without just cause to be determined by the remaining members of the Board of Directors.

ARTICLE VI – COMMITTEES

Section 1. – Standing Committees – Standing committees of RTP may include, but not be limited to, those listed below. Chairpersons of these committees shall be appointed by the Board of Directors and shall perform in that position for one year. Section 2. – Production and/or Director Selection – The Board of Directors and/or its designee(s) shall act in the capacity of an advisory committee for selection of a production and to review qualifications of proposed Director(s). Decisions will be based on several criteria, including:

(The Board may only consider this option in the case of an emergency occurring at or near production dates and if the only viable candidate for the role vacated is the Director and must have the approval of the entire Board of Directors.)

They will receive proposed annual budget from Treasurer for perusal and discussion and establish a budget for the fiscal year. The Board shall make available copies to the general membership for approval.

ARTICLE VIII – FINANCE

Section 1. – Dues – The term of membership shall be set annually by the Board of Directors at the first meeting of the fiscal year. Annual dues are as follows:

Section 2. – Tickets – The price of tickets for all RTP productions shall be fixed by the Board of Directors.

Section 3. – Financial Support – Donations and grants shall be sought by the Board of Directors for the support of specific activities and goals of RTP. While any and all contributions will be gratefully accepted by RTP for any and all productions, the Board grants and recognizes the following donor categories:

Sponsored Support: Contributions, donations, bequests, endowments, etc., from businesses, organizations, etc. who financially support RTP in return for recognition at RTP events. These donors have no voting privileges.

ARTICLE VIII – FISCAL YEAR

The fiscal year of RTP shall be September 1 through August 31.

ARTICLE IX – GENERAL MEETINGS

Meetings of the general membership of RTP shall be held on the third Monday of the following months: September, January, April and June. November, January, March, May and August. Additional meetings may be called by the Board of Directors or by the request of ten members of RTP. Dates, times, and places or all meetings shall be determined by the Board.

ARTICLE X – PARLIAMENTARY AUTHORITY

The rules contained in Robert’s Rules of Order Newly Revised, shall govern Rivertown Players, Inc. in all cases to which they are applicable and when they are not inconsistent with the Bylaws of Rivertown Players, Inc.

ARTICLE X - BYLAW AMENDMENTS

These bylaws may be amended at any general meeting after having been presented in writing at the previous general meeting. The amendment will pass upon receiving a two-thirds favorable vote of the members present and voting. Each member must be notified in writing that a discussion regarding proposed amendments to the bylaws will be held at the next general meeting.

ARTICLE XII – DISSOLUTION

Should RTP cease to exist, any assets shall be transferred to an appropriate tax-exempt organization committee to similar purposes.
